Terms of Service
These terms are the agreement between you and us for your use of the TenderSeal web application at web.tenderseal.com and everything it provides (the "Service"). Please read them carefully. By creating an account, or by using the Service, you accept them. If you do not accept them, do not use the Service.
1. Who we are
The Service is provided by TENDERSEAL LTD, a company registered in England and Wales (company number 16060702), whose registered office is at Ashbourne House, Bessler Hendrie, Old Portsmouth Road, Guildford, England, GU3 1LR ("TenderSeal", "we", "us", "our").
You can contact us at support@in.tenderseal.com. Our Privacy Policy, at web.tenderseal.com/legal/privacy, explains how we use personal data, and forms part of these terms.
2. Who may use the Service
- You must be 18 or over. The Service is not for children. If we learn that an account belongs to someone under 18, we will close it.
- The Service is designed for businesses and other organisations preparing bids and tenders. If you use it for an organisation, you confirm that you are authorised to accept these terms on its behalf, and "you" includes that organisation.
- If you use the Service as a consumer (for purposes outside your trade, business or profession), you also have the rights described in section 8 and the rights consumer law gives you, which these terms do not affect.
3. Your account
- Give us accurate details, and keep them up to date.
- Keep your password, and any authenticator app you use for two-step verification, secure and to yourself. You are responsible for what happens in your account. Tell us at once at support@in.tenderseal.com if you think someone else has used it.
- You can sign in with an email address and password, or with your Google account. If you turn on two-step verification and lose access to your authenticator, contact us from your account's email address; we will check that the request is yours before removing it.
- Some accounts are set up by our team for a customer. Whoever first signs in to such an account accepts these terms, and must choose a new password at their first sign-in.
4. The Service
TenderSeal helps you read and analyse tender documents, answer questions about them, decide whether to bid, and draft and edit your bid. It uses artificial intelligence ("AI") models to do this, and may search the web for information your documents do not contain.
We may improve, change or withdraw features from time to time. If a change significantly reduces what you have paid for, we will tell you in advance and you may cancel (section 7) and receive a refund for the unused part of your paid period.
5. AI-generated output
The analyses, answers, recommendations and drafts the Service produces ("Output") are generated by AI from the material available to it.
- Output can be wrong, incomplete, out of date or inconsistent with your documents, even when it cites a source. You must review and check all Output, including every figure, date, claim, citation and statement about your organisation, before you rely on it, submit it to anyone or make a decision based on it.
- The Service does not give legal, financial, tax or procurement advice, and Output is not a substitute for professional advice.
- Decisions about whether to bid, and what you submit, are yours. We are not responsible for the outcome of any tender.
As between you and us, you own the Output produced for you, and may use it for any lawful purpose. Similar output may be produced for other users.
6. Your content
You keep all rights in the documents, files and text you upload or write ("Your Content").
- You give us a non-exclusive licence to host, store, copy, process and transmit Your Content, only as needed to provide the Service to you, to keep it secure and working, and as our Privacy Policy describes, including through the service providers it lists. This licence ends when Your Content is deleted.
- We do not use Your Content to train AI models, and we do not sell it.
- We keep Your Content confidential. We access it only to provide the Service, when you ask us to (for example in a support request), or when the law requires.
- You confirm that you have the right to upload Your Content and to have it processed as these terms describe, and that doing so does not break the law, any confidentiality obligation (including any obligation in a tender's rules) or anyone else's rights. Where Your Content includes personal data about other people, you are responsible for having a lawful basis to share it with us.
7. Plans, payment and cancelling
- Plans and prices. What each plan includes, its price and its usage allowances are shown in the app before you buy. Prices include VAT where it applies. Payments are taken by our payment provider, Stripe; we do not receive your card details.
- Renewal. Paid plans renew automatically at the end of each billing period, and you will be charged the plan's price at that time, until you cancel.
- Cancelling. You can cancel at any time from the Billing page. Your plan stays active until the end of the period you have paid for, and is then not renewed.
- Refunds. We do not refund the unused part of a billing period, except as section 4 or section 8 provides, or where the law requires it.
- Usage allowances. Plans include allowances of AI usage, measured in tokens, which reset each period and do not carry over. Short-term limits may apply to keep the Service fair for everyone. Your allowance and usage are shown in the app.
- Price changes. We may change our prices. We will tell you at least 30 days before a new price applies to your plan, and you may cancel before it does.
- Failed payments. If a payment fails, we will try again and let you know. Until it succeeds, your account may be limited to viewing your existing content.
8. Your right to cancel as a consumer
If you are a consumer, you have the right to cancel your purchase within 14 days of the day you buy it, without giving a reason, by cancelling from the Billing page or emailing support@in.tenderseal.com.
When you buy a plan, you ask us to start providing the Service straight away. If you cancel within the 14 days, we will refund what you paid, less an amount in proportion to the Service provided up to when you told us you were cancelling.
9. Acceptable use
You must not, and must not help anyone else to:
- use the Service in a way that breaks the law or infringes anyone's rights;
- upload malware, or anything you do not have the right to share;
- try to access another user's account or data, or use another person's account;
- probe, test, break or get around the Service's security, usage limits or billing, or overload it;
- copy, decompile or reverse engineer the Service, except as the law allows;
- resell or sublicense the Service, or use it to build a competing product;
- use automated means to access the Service other than through the features we provide;
- use the Service to send spam, or to harass or mislead anyone.
We may suspend or limit an account that does any of these things. We will tell you why, unless the law or the safety of others prevents it.
10. Our intellectual property
The Service, including its software, design and content (other than Your Content and Output), belongs to us or our licensors. We give you a non-exclusive, non-transferable right to use it, under these terms, while your account is active. If you send us suggestions or feedback, we may use them without obligation to you.
11. Availability
We work to keep the Service available, secure and free of errors, but we do not promise that it will always be available or uninterrupted. We may need to suspend it for maintenance, upgrades or reasons beyond our control. The Service depends on third-party providers, and we are not responsible for their failures beyond our reasonable control.
12. Ending your account
- You can delete your account at any time from your Profile. This deletes Your Content, as our Privacy Policy describes, and cannot be undone, so download anything you want to keep first. Deleting your account does not by itself cancel a paid plan's current period or entitle you to a refund, except as section 8 provides.
- We may suspend or close your account if you seriously or repeatedly break these terms, if you do not pay, or if the law requires us to. Unless the breach is serious or the law prevents it, we will give you notice and a chance to put things right first. If we close your account without a breach on your part, we will refund the unused part of any paid period.
- Sections 5, 6, 10, 13 and 15 continue after your account ends.
13. Our liability to you
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.
If you are a business:
- we are not liable for any loss of profit, revenue, business, contracts, tenders or opportunities, loss of goodwill, or loss or corruption of data, or for any indirect or consequential loss;
- we are not liable for any loss arising from your reliance on Output that you did not check as section 5 requires;
- our total liability to you arising out of or in connection with these terms, whether in contract, tort (including negligence) or otherwise, is limited to the greater of the fees you paid us in the 12 months before the event giving rise to the claim and £100.
If you are a consumer: we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. We are not responsible for loss that is not foreseeable, or for business losses. Your legal rights as a consumer are not affected.
14. Changes to these terms
We may update these terms, for example to reflect changes to the Service or the law. The version and the date it took effect are shown at the top of this page. If we make a material change, we will tell you in the app or by email, and ask you to accept the new version before you continue using the Service. If you do not accept it, you may cancel and delete your account.
15. General
- Notices. We will send notices to your account's email address or show them in the app. You can send notices to support@in.tenderseal.com.
- Transfer. We may transfer our rights and obligations under these terms to another organisation, and will tell you if we do; your rights will not be reduced. You may not transfer yours without our written consent.
- Whole agreement. These terms and our Privacy Policy are the whole agreement between you and us about the Service.
- Severability. If a court finds part of these terms unenforceable, the rest stays in force.
- No waiver. If we do not enforce a right at once, we can still enforce it later.
- Third parties. No one else has any right to enforce these terms.
- Law and courts. These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts, and the mandatory consumer law of your country of residence still applies to you.
